1. Legally Binding Agreement

By accessing https://www.embedful.io (the “Site”) and using Embedful’s products and services (the
“Services”), you agree to these Terms and Conditions.

Embedful may update these Terms at any time. Continued use of the Services constitutes acceptance of any changes.

2. Services

Embedful provides a business-focused platform for creating, embedding, and sharing charts and analytics dashboards.

The Services are intended for business users; consumer-specific laws do not apply.

3. Account Registration

  • You must register to use the Services.
  • If registering on behalf of a business, you confirm authority
    to bind that entity.
  • You agree to provide accurate information, maintain security
    of credentials, and promptly update registration data.
  • Report any unauthorized account access immediately via support@embedful.io.

4. Subscription Plans

Embedful offers paid subscription plans. There is no free trial or subscription. For a limited-time promotional offer, a Pro Lifetime plan may be available.

  • Plans are billed in advance and non-refundable.
  • Accounts may be upgraded or downgraded per current pricing and feature availability.
  • All prices exclude taxes. Applicable taxes may apply based on your location.

5. Payments

  • Payments are due in advance and non-refundable.
  • Customers are responsible for maintaining accurate billing information.
  • Embedful may suspend or terminate accounts for non-payment or fraud.

6. Integrations and Data Sources

  • Users may connect third-party data sources they own or have permission to access.
  • Embedful is not liable for the accuracy or availability of external data sources.
  • Usage of Google Analytics, Google Ads, Meta, and other integrations is subject to those providers’ terms and privacy rules.

7. Content

  • You are responsible for all content uploaded or shared via the Services.
  • Embedful may use content solely to provide the Services and does not publish or share it externally without permission.
  • Prohibited content includes illegal, defamatory, abusive, or obscene materials, and personal health information.
  • Users must comply with all applicable laws regarding content, including personal data protection.

8. Intellectual Property

  • Embedful trademarks, logos, and site materials are protected by law.
  • Users may not copy or modify these without explicit consent.
  • Feedback provided by users may be used by Embedful royalty-free.

9. Use Restrictions

Your right to use the Services is personal, non-transferable, and conditional on compliance with these Terms.

  • No unauthorized access, hacking, or interference with the Services or other users.
  • No use of the Services for illegal or fraudulent purposes.

10. Responsibilities

  • Keep account information accurate and up to date.
  • Do not transfer or impersonate accounts.
  • Do not use the Services in countries where prohibited by law.

11. Termination

  • Embedful may terminate Services for breach of Terms, non-payment, or abuse.
  • Users may terminate accounts with 30 days’ notice before the renewal date of a subscription.
  • Upon termination, users are responsible for retrieving any stored data.

12. No Warranties

The Services are provided “as is.” Embedful disclaims all warranties, including merchantability, fitness for purpose, and non-infringement.

13. Limited Liability

Embedful’s liability is limited to fees paid by you for the Services. Embedful is not liable for indirect, special, or consequential damages.

14. Governing Law

These Terms are governed by the laws of the Philippines. Disputes will first be attempted to resolve via mutual negotiation, then mediation, and if necessary, arbitration in the Philippines.

Data Processing Addendum (DPA)

This DPA supplements the Terms whenever Embedful processes personal data on behalf of a customer.

1. Roles
  • Customer: data controller of personal data.
  • Embedful: data processor, processing data only to provide the
    Services.
2. Processing Scope

Embedful processes Customer Data solely to operate the Services and display charts, dashboards, or embedded content.

3. Security

Technical and organizational measures are implemented, including encryption, access controls, and security monitoring.

4. Subprocessors

Embedful may use subprocessors such as Google Analytics, Google Ads, and Meta. Embedful remains responsible for their compliance.

5. Data Subject Rights

Embedful assists Customers in fulfilling data subject requests per applicable law.

6. International Transfers

Customer Data may be transferred internationally with safeguards in accordance with Philippine data protection law.

Billing and Refund Policy

  • Payments are non-refundable except as required by law.
  • Recurring subscriptions are billed in advance and continue until canceled.
  • Customers must keep billing information accurate and current.
  • Accounts may be suspended or terminated for non-payment or fraud.

Pro Lifetime Plan – Fair Use Policy

  • Limited-time promotional plan; availability determined at Embedful’s discretion.
  • Accounts are non-transferable and for reasonable business use only.
  • Embedful may suspend accounts with excessive or abusive usage.
  • Lifetime access covers the Pro Lifetime feature set at purchase; additional features may require upgrade.
  • Payment is one-time and non-refundable.
